In one of the largest strategic divestment deals in Indian banking history, Prem Watsa’s Fairfax Financial Holdings Limited has clinched a controlling 60.72% equity stake in IDBI Bank Limited for a staggering $5.6 billion (₹52,878 crore).

With IDBI Bank’s balance sheet standing at a massive ₹4.44 trillion as of June 30, 2026, this move represents a transformative watershed moment for foreign direct investment (FDI) in Indian banking.

The transaction forms part of the Indian government’s broader strategic privatization roadmap. The deal executes a combined stake sale:
* 30.48% divested by the Government of India(GoI)
* 30.24% divested by the Life Insurance Corporation of India (LIC)

Post-sale, the Government and LIC will retain residual holdings of 15% and 19% respectively (with LIC slated to trim down to 15% within two years).

Both GoI and LIC will step down from board seats, transferring full operational management control to Fairfax.

Fairfax’s winning bid came in at ₹81 per share ., a 23% premium to book value and comfortably above the government’s benchmark valuation of ₹75.99 per share.

Inside the Numbers:Turnaround and Resilience
Once burdened by non-performing assets (NPAs) and prompt corrective action restrictions, IDBI Bank’s current health metrics tell a story of remarkable turnaround:
* Balance Sheet Size: ₹4.44 trillion (June 30, 2026)
* Net Advances: ₹2.58 trillion
* Deposits: ₹3.25 trillion
* Gross NPA Ratio: 2.3% (June 2026)
* Market Capitalization: ₹97,190.96 crore (as of mid-October 2026)

From a credit profile perspective, IDBI Bank offers Fairfax a ready-made, nationwide franchise with 2,100+ branches and 3,000+ ATMs, vastly dwarfing Fairfax’s current banking play in India, CSB Bank.

Fairfax currently holds a 40% stake in CSB Bank. The Reserve Bank of India (RBI) and government authorities have mandated a two-year deadline for Fairfax to either:
* Merge CSB Bank into IDBI Bank, or
* Divest its stake in CSB Bank.

However, system integration poses immediate friction:
* IDBI Bank runs on Infosys Finacle.
* CSB Bank operates on Oracle FLEXCUBE.

With a mandatory five-year lock-in period for the promoter stake and up to 15 years to fulfill long-term regulatory compliance roadmaps, Fairfax is building a multi-decade financial conglomerate in the world’s fastest-growing major economy.

However Key Criticisms are also emerging in :
* 26% Voting Rights Cap vs. 60.72% Shareholding cause tricky board governance
* Capital Injection Reality where funds goes to GoI and LIC but not in to banking
* Question of Financial experts in to the Valuation & Employee Forum Pushback will be a headache
